Terms of service
Last updated 9 October 2026. These Terms apply in every country where you use Conduit.
1. About these terms
These terms of service (the "Terms") are an agreement between Coral Garden Software Ltd, trading as Conduit ("we", "us" or "our"), and the business that uses Conduit ("you" or "your"). Coral Garden Software Ltd is a company registered in England and Wales with company number 17029223. Our registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
You accept these Terms when you sign an Order with us or use the Service. If you accept these Terms for a business, you confirm that you have the authority to bind that business. When a User accepts an invitation to your account, the User agrees to use the Service only as these Terms permit.
Conduit is a tool for businesses. Do not use the Service as a consumer, except the public pages that section 15 describes. Section 15 explains the terms that apply to homeowners and other visitors who use our public pages.
2. Definitions
- "Service" means the Conduit web application, its public pages and websites, its APIs, its connections for AI assistants, and any related support that we provide.
- "User" means a person whom you let use the Service under your account, for example an employee or a contractor.
- "Your Data" means all data that you or your Users put into the Service, or that the Service collects for you. Your Data includes personal data about your own customers, leads and staff. Your Data does not include the account data and the use data about Users that our privacy policy describes. We are the controller of that data.
- "Order" means a written agreement between you and us that refers to these Terms, for example an order form or an email that confirms fees.
- "Data Protection Law" means every law about personal data that applies to the processing of Your Data, for example the UK GDPR, the EU GDPR, the Swiss Federal Act on Data Protection, the Philippine Data Privacy Act of 2012 and the privacy laws of US states.
3. The Service
While these Terms are in effect, we give you a non-exclusive, non-transferable right to use the Service for the internal operations of your business.
The Service is in early access. We add, change and remove features often. Before we make a change that materially reduces the core functions that you use, we tell you at least 30 days before. Some features are marked as beta or preview. We supply these features "as is", and we can stop them at any time.
We do not promise a specific uptime unless an Order says so. We try to tell you before planned maintenance that can stop the Service.
4. Accounts and Users
- An administrator of your account can invite Users, give them roles, and remove them.
- You are responsible for all activity under your account, and for the acts of your Users as if they were your own.
- Keep passwords, API tokens and assistant connections secret. Do not share a login between two or more people.
- Tell us immediately at hello@conduit.solar if you think that someone used your account without permission.
- Each User must be at least 18 years old.
5. Acceptable use
Do not use the Service, and do not let a User or a third party use the Service, to:
- break a law, or infringe the rights of another person;
- send spam, or contact a person by phone, text message, email or WhatsApp without the consent or other legal basis that the law requires;
- put malware into the Service, or try to get access to data or accounts that are not yours;
- test, scan or attack the security of the Service without our written permission;
- copy, decompile or reverse engineer the Service, except where the law lets you do so;
- resell the Service, or use it to build a competing product;
- put an unreasonable load on the Service, for example with automated requests that are more than the published API limits.
6. Your Data
You own Your Data. You give us a worldwide, non-exclusive license to host, copy, process and show Your Data only as necessary to supply the Service to you, to keep it secure, and to obey the law.
You are responsible for Your Data. This includes its accuracy, and the legal basis on which you collect it and use it. If you use the Service to contact your customers or leads, you must have the consent or other legal basis that Data Protection Law and the law on electronic marketing require for each method of contact.
We do not sell Your Data. We do not use Your Data to train AI models. You instruct us to make statistics about the use of the Service, in an aggregated form that does not identify you, a User or any other person. We can use these statistics to operate and improve the Service.
You can export Your Data at any time while your account is open. Section 13 explains what we do with Your Data when these Terms end.
7. Data processing
For the personal data in Your Data, you are the controller and we are your processor. This section is the data processing agreement between you and us, as Data Protection Law requires, for example Article 28 of the UK GDPR and the EU GDPR. Where a law uses different words, for example "personal information controller" and "personal information processor" in the Philippines, those words have the same meaning as controller and processor.
- Subject matter and duration: the supply of the Service while these Terms are in effect, and until we delete Your Data under section 13.
- Nature and purpose: hosting, storage, transmission and analysis, also by AI features, as necessary to supply the Service.
- Types of personal data: names and contact details, property and energy data, financial data about quotes and invoices, documents, photos, messages and signatures.
- Data subjects: your customers, leads, staff, contractors and Users.
When we process personal data in Your Data, we will:
- process it only on your documented instructions, which are these Terms and the settings and actions in your account, unless the law requires otherwise. If the law requires otherwise, we tell you before we process it, unless the law prevents this. We tell you immediately if, in our opinion, an instruction breaks Data Protection Law;
- make sure that each person who can get access to it has a duty of confidentiality;
- use the technical and organizational security measures that section 10 describes;
- use only the sub-processors in our privacy policy. You give us a general authorization to use them. We will tell you at least 30 days before we add or replace a sub-processor, and you can object for a reasonable data protection reason. If you and we cannot agree on a solution, you can end these Terms, and you do not pay fees for the remaining minimum period of an Order. We put the same data protection obligations on each sub-processor, and we stay responsible for its work;
- help you to answer requests from people who use their data protection rights, and help you with security, breach notifications, impact assessments and consultations with a supervisory authority;
- tell you without undue delay after we become aware of a personal data breach that has an effect on Your Data;
- delete or return Your Data when these Terms end, as section 13 describes, unless the law requires us to keep it;
- give you the information that is necessary to show that we obey this section, and let you or an auditor whom you appoint do an audit, with reasonable notice, at your cost, and not more than once each year unless a supervisory authority requires it.
We transfer personal data to other countries as our privacy policy describes. For a transfer from the UK, the EEA or Switzerland to a country without an adequacy decision, we use the safeguards that the law requires, for example the standard contractual clauses and the UK addendum.
8. AI features
Some features use AI models to read documents, sort messages, answer questions and draft records or replies. AI output can be wrong or incomplete. Examine each output before you rely on it.
The Conduit assistant can answer messages from your Users and your customers by WhatsApp or email before a person reads the answer. Some actions, for example the action that sends a quote to a customer, need the confirmation of a person before they occur. You are responsible for the use of these features in your account, and for the actions that you and your Users confirm.
Where the law requires it, tell the people who send messages to the Conduit assistant that an AI system can answer them.
We send the data that a feature needs to the AI providers that our privacy policy names.
9. Third-party services
You can connect the Service to services that other companies supply, for example an AI assistant that you connect in the assistant connections settings. When you connect a service, you let us send Your Data to it and get data from it. The terms of the other company apply to its service. We are not responsible for a third-party service, or for what it does with data after you connect it.
10. Security
We use appropriate technical and organizational measures to protect Your Data. These measures include encryption in transit, encrypted connections to the database, access control by role and organization, and records of important actions. No system is fully secure, so we cannot promise that a security incident will never occur.
11. Fees
You pay the fees that an Order states. If no Order states a fee, you pay no fee. We send invoices as the Order states. Unless the Order states otherwise, you pay each invoice within 30 days. Fees do not include taxes, for example VAT. You pay the taxes that apply, except taxes on our income.
If you do not pay an invoice on time, we can suspend the Service after we give you at least 14 days' notice.
12. Intellectual property and feedback
We and our licensors own the Service, its software, its design and the Conduit name and logo. These Terms do not give you a right in them, except the right to use the Service in section 3.
If you give us feedback or suggestions, we can use them without a duty to you.
13. Term, suspension and termination
These Terms start when you accept them, and they continue until you or we end them.
- You can end these Terms at any time with a notice to hello@conduit.solar. An Order can set a minimum period, and the fees for that period stay payable, except as sections 7 and 18 say.
- We can end these Terms with 30 days' notice to you.
- You or we can end these Terms immediately with notice if the other party commits a material breach and does not correct it within 14 days after a notice, or if the other party becomes insolvent.
- We can suspend a User or an account immediately if this is necessary to stop a security risk, a breach of section 5, or a breach of the law. We will tell you the reason, and we will restore access when the cause is removed.
When these Terms end, your right to use the Service stops. For 30 days after the end, you can ask us to give you an export of Your Data. After this 30-day period, we delete Your Data within 90 days, unless the law requires us to keep it. Copies in backups are deleted when the backups expire. Sections 2, 6, 7 and 11 to 18, and each right or liability that exists at the end, continue after the end of these Terms.
14. Warranties and disclaimers
Each party confirms that it has the authority to accept these Terms. We will supply the Service with reasonable skill and care.
Except for these promises, and to the extent that the law permits, we supply the Service "as is". We give no other warranty or condition, express or implied, for example of satisfactory quality, fitness for a particular purpose or uninterrupted operation. The Service does not give legal, tax, financial or engineering advice. Examine the figures, documents and designs that the Service makes before you rely on them.
15. Homeowners and other visitors
In this section, "you" means a homeowner or other visitor who uses our public pages. Installers use Conduit to send quotes, forms and signature requests to their customers. If you open one of these pages, the installer who sent it is responsible for its content and for the contract between you and the installer. We are not a party to that contract.
If you use our public pages as a consumer, only sections 5, 12 and 18 and this section apply to you. Nothing in these Terms limits your statutory rights as a consumer. If you are a consumer, you can also bring a claim in the courts of the country where you live.
16. Liability
Nothing in these Terms limits or excludes a liability that the law does not let a party limit or exclude. This includes liability for death or personal injury caused by negligence, and liability for fraud or fraudulent misrepresentation.
Subject to the paragraph above:
- neither party is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss;
- the total liability of each party under or in connection with these Terms is not more than the greater of: (a) the fees that you paid to us in the 12 months before the event that caused the claim; and (b) £100.
The limits above do not apply to your duty to pay fees, or to your liability under section 17.
17. Indemnity
You will indemnify us against third-party claims, and the losses and reasonable costs that come from them, to the extent that they come from Your Data or from a use of the Service by you or your Users in breach of these Terms or of the law. This does not apply to the extent that our breach of these Terms caused them. We will tell you about each such claim promptly, let you control its defense, and give you reasonable help at your cost. We will not settle a claim without your consent.
18. General
- Changes to these Terms. We can change these Terms. We will tell administrators of each account by email or in the Service at least 30 days before a material change starts. If you do not agree to the change, you can end these Terms before it starts, and you do not pay fees for the remaining minimum period of an Order. A change does not apply to a dispute that started before the change.
- Confidentiality. Each party keeps secret the non-public information that it gets from the other party under these Terms, and uses it only for these Terms. This does not apply to information that is public through no fault of the party that got it, that the party knew before, that it got from a third party without a duty of confidentiality, or that it developed independently. A party can disclose confidential information when the law requires it, and to its staff, professional advisers and sub-processors who need it for these Terms and who have a duty of confidentiality.
- Order of precedence. If an Order and these Terms do not agree, the Order applies. But an Order changes section 7 or section 16 only if it refers to that section by number.
- Notices. We send notices to the email address of an administrator of your account. Send notices to us at hello@conduit.solar.
- Events outside control. Neither party is liable for a delay or a failure caused by an event that it cannot reasonably control, for example a failure of the internet, of a hosting provider or of a power supply. This does not apply to a duty to pay.
- Assignment. You can transfer these Terms only with our written consent. We can transfer these Terms to a company that gets all or most of our business, with notice to you.
- Entire agreement. These Terms, each Order and the documents that they refer to are the full agreement between you and us about the Service. Each party confirms that it did not rely on a statement that is not in these Terms.
- Severability and waiver. If a court finds that a part of these Terms is not valid, the remainder stays in effect. If a party does not use a right, it does not lose that right.
- Third parties. Only you and we can enforce these Terms. The Contracts (Rights of Third Parties) Act 1999 does not apply.
- Language. These Terms are written in English. If a translation and the English text do not agree, the English text applies.
- Governing law and courts. The law of England and Wales applies to these Terms and to each dispute about them, contractual or non-contractual. The courts of England and Wales have exclusive jurisdiction, except as section 15 says for consumers.
